1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you (whether personally or on behalf of an enterprise or entity, "Customer" or "you") and ExecutGroup Oy ("ExecutGroup", "we", "us", or "our"), regarding your access to and use of our website, software platform, and advisory services.
By accessing our website (www.executgroup.com) or engaging our diagnostic services, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you must discontinue use immediately.
2. Services & Delivery Models
ExecutGroup provides three primary engagement tiers:
Direct software access enabling customer organizations to configure diagnostic statements, invite participants, execute pairwise comparison duels, and explore dynamic reports independently.
Full turnkey execution where ExecutGroup plans, configures, and administers the diagnostic process, while the customer provides participant engagement and retains full decision ownership.
Senior consulting and leadership facilitation designed to help executive boards and management teams translate diagnostic priorities into strategic decisions, capital allocation, and implementation roadmaps.
3. Intellectual Property Rights
All proprietary technology, mathematical pairwise ranking algorithms, software source code, user interfaces, branding, visual designs, and methodologies developed by ExecutGroup remain the exclusive intellectual property of ExecutGroup Oy and its licensors.
Customer Ownership: The customer retains exclusive ownership and confidentiality over all internal input, participant answers, proprietary operational data, and final exported diagnostic reports generated specifically for their organization.
4. Acceptable Use Policy
You agree not to:
- Systematically extract, crawl, or scrape data or algorithms from our digital interfaces without explicit written authorization.
- Attempt to decompile, reverse-engineer, or disassemble any part of our pairwise comparison algorithms or reporting engines.
- Use automated scripts or bots to manipulate diagnostic rankings, vote tallies, or comparison win-rates.
- Introduce malicious code, viruses, or attempt unauthorized penetration testing against our European hosting infrastructure.
5. Disclaimers & Nature of Decision Support
Our platform, algorithms, and dynamic reports are designed to synthesize collective stakeholder insight and isolate organizational priorities. However, diagnostic outputs constitute decision support, not guaranteed commercial outcomes or statutory auditing certifications.
The Service is provided on an "as is" and "as available" basis. While we maintain 99.9% uptime targets and strict mathematical validation routines, we do not warrant that platform operations will be completely uninterrupted or error-free under extreme external force majeure conditions.
6. Limitation of Liability
To the maximum extent permitted by applicable Finnish and European law, ExecutGroup Oy shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from the use of our diagnostic reports or decisions made based upon them.
Our total aggregate liability for any claims relating to paid engagements shall be strictly capped at the total amount paid by the customer to ExecutGroup during the twelve (12) months preceding the event giving rise to liability.
7. Governing Law & Jurisdiction
These Terms and any non-contractual obligations arising out of or in connection with them shall be governed by and construed in accordance with the laws of Finland, without regard to conflict of law principles.
Any dispute, controversy, or claim arising out of or relating to these Terms shall be settled by the competent courts of Finland, with the District Court of Helsinki (Helsingin käräjäoikeus) as the court of first instance.
